We assist our clients at every stage of the M&A process by:
- carrying out legal, tax and financial due diligence reviews, including vendor due diligence,
- playing the role of a sell-side advisor (including preparation of the teaser, information memorandum, business valuation, long and short listing potential buyers) or a buy-side advisor (target search, preparation of the term sheet), and helping the client negotiate the financial terms of the transaction,
- reviewing or preparing transaction documents,
- analysing the legal and tax structure of the transaction (share or asset deal, spin-off, merger, share exchange),
